1. Introduction
These Terms of Service ("Terms") govern your access to and use of the digital platforms, mobile applications, and services operated by Quantum Technology PLC ("Quantum", "we", "us", or "our"), a technology company incorporated under the laws of the Federal Democratic Republic of Ethiopia.
Quantum operates as a technology platform provider powering digital financial services — including but not limited to the Alegnta and Milkii loan applications, airtime distribution systems, POS infrastructure, and Safaricom distribution services. Credit and financial products accessible through our platforms are provided by our licensed partner financial institutions, not by Quantum directly.
By accessing or using any Quantum platform, you agree to be bound by these Terms. Please read them carefully.
2. Definitions
- "Platform" means any mobile application, website, or digital service operated by Quantum Technology PLC, including Alegnta and Milkii.
- "Partner Bank" means any licensed commercial bank that has engaged Quantum to provide technology infrastructure for the delivery of financial services to end users, including but not limited to Anbesa Bank, Oromia Bank, and Berhan Bank.
- "Financial Service" means any credit advance, loan, payment, or financial product offered through the Platform by a Partner Bank.
- "User" means any individual or entity that registers for or accesses the Platform.
- "Credentials" means your username, PIN, password, or any other authentication information used to access the Platform.
- "Credit Advance" means a short-term loan issued by a Partner Bank to a User through the Platform.
- "Personal Information" means any data that identifies or could identify you, as further defined in our Privacy Policy.
- "NBE" means the National Bank of Ethiopia.
- "Event of Default" means failure to repay a Credit Advance by its due date, as communicated within the Platform at time of disbursement.
3. Acceptance of Terms
By downloading, installing, registering on, or using any Quantum platform, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, you must not use our platforms.
Where a Platform is provided in connection with a specific Partner Bank's financial product, additional terms specific to that product will be presented to you at the time of registration or loan application. Those product-specific terms form part of your agreement and should be read alongside these Terms.
These Terms may be updated from time to time. Your continued use of the Platform after changes are published constitutes acceptance of the revised Terms. We will make reasonable efforts to notify you of material changes via the Platform or SMS.
4. Eligibility
To use our platforms and access Financial Services, you must:
- Be at least 18 years of age
- Be a resident of the Federal Democratic Republic of Ethiopia
- Hold a valid national ID or equivalent government-issued identification
- Hold an active account with a Partner Bank where applicable
- Provide accurate, complete, and current information during registration
- Not be subject to any legal prohibition on receiving financial services in Ethiopia
Quantum reserves the right to verify your eligibility and to decline access to any or all features of the Platform at its sole discretion.
5. Our Role as Technology Provider
Quantum Technology PLC is a technology platform provider, not a licensed bank or financial institution. We do not lend money, hold deposits, or provide regulated financial services directly.
Financial products accessible through our platforms — including loans, credit advances, and payment services — are provided exclusively by our licensed Partner Banks under their own regulatory obligations with the National Bank of Ethiopia. Quantum provides the technology infrastructure through which these services are delivered.
This distinction is important: any loan agreement, repayment obligation, interest, or fee related to a Credit Advance is a matter between you and the relevant Partner Bank. Quantum may, however, act on behalf of a Partner Bank in certain operational matters including collections, as authorised by that Partner Bank.
6. Use of the Platform
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms.
You agree not to:
- Rent, lease, sublicense, or resell access to the Platform
- Modify, adapt, translate, reverse-engineer, decompile, or create derivative works from any part of the Platform
- Use the Platform for any commercial purpose without Quantum's prior written consent
- Combine or integrate the Platform with any other software or service without authorisation
- Remove or obscure any proprietary notices or branding within the Platform
7. User Accounts & Credentials
You are solely responsible for maintaining the confidentiality of your Credentials and for all activity that occurs under your account. You agree to:
- Create only one account per person
- Keep your Credentials secure and not share them with any third party
- Notify Quantum immediately if you suspect unauthorised access to your account
- Ensure all information in your account is accurate and kept up to date
Quantum shall not be liable for any loss or damage arising from your failure to maintain the security of your Credentials.
8. Financial Services via Partner Banks
Where you apply for a Credit Advance through a Quantum platform, you acknowledge that:
- The Credit Advance is issued by the relevant Partner Bank, not by Quantum
- Loan amounts, repayment terms, interest rates, and fees are determined by the Partner Bank and will be displayed to you before acceptance
- You are solely responsible for repaying any Credit Advance on or before the stated due date
- Late repayment may attract penalties as specified by the Partner Bank and communicated in the Platform
- The Partner Bank may share your credit data with the Credit Reference Bureau of the National Bank of Ethiopia in accordance with applicable directives
- In the event of default, Quantum may be authorised by the Partner Bank to pursue recovery of outstanding amounts, including through legal action
Specific financial terms, fees, and conditions for each product will be presented within the relevant platform at the time of application and must be read carefully before acceptance.
9. Airtime & Telecom Services
Quantum operates a nationwide airtime distribution network in partnership with Ethio Telecom and Safaricom Ethiopia. When purchasing airtime or SIM products through any Quantum-affiliated channel:
- Transactions are processed in real time and are generally non-refundable once completed
- Quantum acts as a distribution agent and is not the network operator
- Service availability may be subject to network conditions outside Quantum's control
- Any disputes related to network quality or service should be directed to the relevant telecom operator
10. POS & Merchant Services
Quantum provides POS terminal deployment and merchant support services as an authorised agent for device manufacturers and payment processors. Merchants using Quantum-deployed POS infrastructure agree to:
- Use devices solely for authorised payment processing purposes
- Not tamper with, modify, or attempt to service hardware without Quantum's written authorisation
- Report faults, loss, or suspected tampering to Quantum promptly
- Comply with any training and compliance requirements imposed by Quantum or its principals
11. Prohibited Conduct
You must not use any Quantum platform to:
- Provide false, misleading, or fraudulent information to obtain financial services
- Engage in or facilitate money laundering, terrorist financing, or any activity in violation of Ethiopian anti-money laundering laws
- Impersonate any person, entity, or Quantum employee
- Introduce malicious code, viruses, or disruptive software into the Platform
- Attempt to gain unauthorised access to any system, account, or data
- Use automated tools to scrape, crawl, or bulk-access the Platform
- Harass, threaten, or harm any other user or Quantum staff
- Violate any applicable Ethiopian or international law or regulation
Violation of these prohibitions may result in immediate suspension, account termination, and referral to law enforcement authorities.
12. Intellectual Property
All content, software, trademarks, logos, and technology comprising the Quantum platforms — including Alegnta and Milkii — are the exclusive property of Quantum Technology PLC or its licensors and are protected under Ethiopian and international intellectual property law.
Nothing in these Terms transfers any intellectual property rights to you. You may not reproduce, distribute, modify, or create derivative works from any Quantum materials without our prior written consent.
13. Data & Privacy
Your use of our platforms involves the collection and processing of personal data. Our Privacy Policy, which forms part of these Terms, explains in detail:
- What information we collect and why
- How we share data with Partner Banks and regulatory bodies
- How we protect your data
- Your rights regarding your personal information
By using our platforms, you consent to data processing as described in our Privacy Policy.
14. Limitation of Liability
To the maximum extent permitted by Ethiopian law, Quantum Technology PLC shall not be liable for:
- Indirect, incidental, special, or consequential damages of any kind
- Loss of profit, business opportunity, or data
- Service interruptions caused by force majeure, network failures, or third-party outages
- Actions or omissions of Partner Banks or telecom operators
- Losses resulting from your failure to maintain Credential security
Our total aggregate liability to you for any claim shall not exceed the amount you paid to Quantum in the three months preceding the event giving rise to the claim.
15. Indemnification
You agree to indemnify, defend, and hold harmless Quantum Technology PLC, its directors, employees, agents, and affiliates from and against any claims, losses, damages, expenses, or legal fees arising from:
- Your breach of these Terms
- Your violation of any applicable law or regulation
- Your misuse of the Platform or any Financial Service
- Any fraudulent or unauthorised activity conducted through your account
16. Termination
Quantum may suspend or terminate your access to any platform at any time, with or without notice, if:
- You breach any provision of these Terms
- We are required to do so by law or regulatory directive
- Your account shows signs of fraudulent or abusive activity
- A Partner Bank instructs us to do so in relation to a linked financial product
Termination does not extinguish any financial obligations you have to a Partner Bank. Outstanding Credit Advances remain due and payable after termination.
17. Dispute Resolution
In the event of any dispute arising from or in connection with these Terms or your use of our platforms, the parties shall first attempt to resolve the matter amicably through direct communication.
Disputes that cannot be resolved informally within 30 days shall be submitted to the exclusive jurisdiction of the Federal Courts of the Federal Democratic Republic of Ethiopia.
For disputes related to a specific Financial Service or Credit Advance, you may also contact the relevant Partner Bank's customer care centre or escalate to the National Bank of Ethiopia's Financial Consumer Protection Directorate.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia. Any provisions found to be invalid or unenforceable shall be severed without affecting the remainder of these Terms.
19. Changes to These Terms
We may update these Terms periodically to reflect changes in our services, legal requirements, or business operations. When we make material changes, we will notify you via the Platform, SMS, or email where available. The updated Terms will show a revised "Last updated" date at the top of this page.
Your continued use of our platforms after such changes constitutes your acceptance of the revised Terms.
